(collectively referred to as the "Parties").
BACKGROUND:
Call Responder provides a Missed Call Text Back Service for small businesses (the "Service"), which allows subscribers to receive text messages for missed calls. Subscriber wishes to subscribe to the Service provided by Call Responder, and Call Responder agrees to provide the Service under the terms and conditions set forth in this Agreement.
AGREEMENT TERMS:
1. Service Description:
1.1 Andrea Romano will provide the Missed Call Text Back Service to Subscriber on a monthly or yearly basis.
1.2 The Service includes sending text messages to Subscriber for missed calls received on the Subscriber's designated phone number.
1.3 The subscription fee for the service is $59.99CAD/monthly or 599.88CAD/annually.
2. Payment Terms:
2.1 Subscriber shall pay Andrea Romano the subscription fee, payable in advance, on a 30-day or annual time frame depending on the subscription model chosen (monthly or annual) from the start date of the trial during the term of this Agreement.
2.2 Payment shall be made by the Subscriber via the payment method specified by Andrea Romano.
2.3 In the event of any delay in payment, Andrea Romano reserves the right to suspend or terminate the Service without further notice.
3. Term and Termination:
3.1 This Agreement shall commence on the Effective Date (trial start date) and continue on a month-to-month or annual basis, unless terminated by either party upon thirty (30) days written notice.
3.2 Either party may terminate this Agreement immediately if the other party breaches any material term or condition of this Agreement.
4. Confidentiality:
4.1 Andrea Romano and Subscriber agree to keep all information received from each other, including but not limited to subscriber data and call information, confidential and shall not disclose such information to third parties without prior written consent.
5. Limitation of Liability:
5.1 Andrea Romano's liability under this Agreement is limited to the total amount paid by Subscriber for the Service during the preceding month or year.
6. Entire Agreement:
6.1 This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, representations, and understandings, whether written or oral.
7. Governing Law:
7.1 This Agreement shall be governed by and construed in accordance with the laws of the province of Ontario, Canada.
IN WITNESS WHEREOF, the Parties hereto have executed this Missed Call Text Back Service Agreement as of the Effective Date.
